TERMS AND CONDITIONS OF SALE
MTL Ventures Limited T/A Nature’s Bazaar
1. Definitions
1.1 “Company” means MTL Ventures Limited T/A Nature’s Bazaar.
1.2 “Customer” means any person, firm or company purchasing Goods.
1.3 “Contract” means any agreement for the sale of Goods or Services.
1.4 “Goods” means all products supplied by the Company.
1.5 “Services” means any ancillary services provided by the Company.
2. Basis of Contract
2.1 All orders constitute an offer by the Customer to purchase Goods.
2.2 The Contract shall only be formed upon written acceptance or dispatch.
2.3 These Terms shall apply to the exclusion of all other terms.
2.4 No variation shall be binding unless agreed in writing by the Company.
3. Quotations
3.1 Quotations are valid for 15 days unless otherwise stated.
3.2 Quotations are subject to withdrawal or revision at any time prior to acceptance.
4. Price and Payment
4.1 Prices are exclusive of VAT unless stated.
4.2 The Company reserves the right to adjust prices prior to delivery.
4.3 Payment shall be made in full without deduction.
4.4 Late payments shall incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4.5 The Company may suspend supply for non-payment.
5. Quantity and Specification
5.1 A tolerance of ±10% in quantities shall apply.
5.2 Specifications are approximate and subject to reasonable variation.
6. Delivery
6.1 Delivery dates are estimates only.
6.2 Risk passes upon delivery.
6.3 The Company shall not be liable for delays beyond its control.
6.4 Failed deliveries may incur charges.
6.5 Pallets must be returned or will be charged.
7. Shelf Life and Product Dating
7.1 Goods are supplied with reasonable remaining shelf life.
7.2 The Customer must inspect and accept product dates upon delivery.
7.3 Acceptance confirms satisfaction with shelf life and condition.
7.4 The Company shall not be liable for expiry or short-dating after delivery.
7.5 Claims must be made within 48 hours with supporting evidence.
7.6 No claims shall be accepted thereafter.
8. Claims and Returns
8.1 Claims for damage, shortage or defect must be made within 48 hours.
8.2 Goods must be returned upon request for inspection.
8.3 The Company shall not accept claims outside these procedures.
9. Consumer Rights
9.1 Consumers have statutory rights under UK law.
9.2 Perishable goods cannot be returned once opened.
9.3 Faulty goods will be replaced or refunded at the Company’s discretion.
10. Retention of Title
10.1 Title remains with the Company until full payment is received.
10.2 The Company may repossess goods in case of non-payment.
10.3 The Customer shall store goods separately and identifiable.
11. Limitation of Liability
11.1 The Company shall not be liable for indirect or consequential loss.
11.2 Liability shall not exceed the invoice value.
11.3 Nothing excludes liability for death or personal injury caused by negligence.
12. Intellectual Property
12.1 All branding, designs and materials remain the property of the Company.
12.2 No reproduction without consent.
13. Cancellation
13.1 Custom orders cannot be cancelled once production has commenced.
13.2 The Company may charge in full for such orders.
14. Force Majeure
14.1 The Company shall not be liable for events beyond its control including supply chain disruption, acts of God, or government action.
15. Insolvency
15.1 The Company may terminate the Contract if the Customer becomes insolvent.
15.2 All outstanding sums shall become immediately due.
16. Confidentiality
16.1 The Customer shall not disclose confidential information.
17. Governing Law
17.1 These Terms are governed by the laws of England and Wales.
17.2 The courts of England and Wales shall have exclusive jurisdiction.
